1- The two parties, pursuant to this contract agreed that the subject of this contract is a reservation of a Mercedes Benz Car for the client account based on the personal information entered by the client himself and to be delivered by MS Ibrahim Al-Juffali & Bros Car Co. through its sale centres in KSA. In case of factory information of non-availability of some of the required specifications after the request procedures were started for a reason out of Ibrahim Al-Juffali & Bros Car Co. control after requesting the car from the factory and it became clear that reason is attributed to the factory in Germany, the customer shall be informed about this change. In case the customer desires to complete the request, the request shall be delayed from the specified time. The customer shall be entitled to recover the down payment and cancel the request.
2- The client is not entitled to assign his obligations pursuant to this contract or its attachments as a whole or in part or to sublet the contract to others. MS. Ibrahim Al-Juffali & Bros Car Co. is entitled to stop working according to this contract or terminate or cancel the contract and dispose the car if such practice from the client is discovered.
3- The client shall obligate to pay a preliminary down payment in an amount of (SR 10,000), ten thousand Riyal through the electronic browser to complete the reservation or purchase process with the client obligation to be present in one of MS. Ibrahim Al-Juffali & Bros Car Co. sale centres to complete the down payment amount whether for reservation or purchase during a maximum period of (10) ten working days from the date of preliminary reservation as follows:
4- The client shall obligate to furnish First Party, MS Ibrahim Al-Juffali & Bros Car Co. the necessary corroborative papers which prove his eligibility to own a car in KSA to register and issue number plate for the car from Traffic Dept. The Second Party is not entitled to take over the car before the issue of the said official documents.
5- In case of the client request to cancel the car reservation before the car arrival or in case the client does not take over the car or does not pay the full remaining amount of the car value during a period not more than ten days (10) from the date of his notification through one of the above mentioned addresses that the car is ready for delivery, the following items shall apply:
6- The client shall obligate to pay fully the remaining car value in a period not more than ten days (10) from the date of this reservation or purchase. MS Ibrahim Al-Juffali & Bros Car Co. undertakes to register the reserved car in the client name after completion of full payment of car value and payment of VAT and complete all procedures from the client personally or his authorized representative which include car reservation or purchase contract.
7- In case reservation or purchase of electric car is made from Ms. Ibrahim Al-Juffali & Bros Car Co., the client shall acknowledge that he is required to obtain the approval of SEC to install a charger for the car he wishes to reserve or purchase in order to enable Ms. Ibrahim Al-Juffali & Bros Car Co., pursuant to SEC approval to send the car to al-Sharif Holding Co. for supply and installation of chargers. The client also acknowledges that the car charger installation shall be done through Al-Sharif Holding Co. without any responsibility towards Al- Ms.Ibrahim Juffali & Bros Car Co. The client acknowledges that he shall keep Ms. Ibrahim Al-Juffali & Bros Car Co. free from any obligation to install the charger in case he could not get the approval from SEC and Ms. Ibrahim Juffali & Bros Car Co shall not bear any material or moral obligation as such approval is not part of its contractual responsibilities.
8- This contract is subject to Islamic Sharia rules and all systems, regulations and instructions in force in KSA.
9- The two parties agreed that in case of any conflict or dispute arises between them in respect of the interpretation or the execution this contract or hidden defects or related issues and matters, and this conflict or dispute cannot be solved amicably. The conflict or dispute shall be referred to a ternary arbitration board according to Saudi Arbitration System and the arbitration location shall be in Jeddah city.
10- The two parties acknowledge that they have reviewed all contract articles in a way that negates ignorance. They perceive and understood fully the articles and accepted its execution without retract.
11- Any of the two parties may not amend or change any article of this contract articles in any case except if an attachment is prepared and signed by the contract parties for this purpose.
